Terms of Servicefor HeroSpace.

These Terms of Service ("Terms") govern your use of the HeroSpace website, desktop application, and related services provided by NextUI Inc. ("HeroSpace," "we," "us," or "our"). By using the service, you agree to these Terms. If you do not agree, do not use the service.

You must be legally able to enter into a binding agreement and meet any applicable minimum age requirements. If you use HeroSpace for an organization, you confirm that you are authorized to act on its behalf. In that case, "you" includes that organization.

Provide accurate account information and keep it current. You are responsible for protecting your sign-in methods, devices, and account access. Do not share verification codes or use another person's account without permission. Contact support@herospace.ai if you believe your account has been compromised.

Workspace administrators control membership, roles, and access to shared information. Only invite people and share content when you have authority to do so. If you join an organization's workspace, its policies may also govern your use and the information you place in that workspace.

Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use HeroSpace for your personal or organizational work. We and our licensors retain rights in the software, design, trademarks, and other materials we provide, except for rights expressly granted to you.

Separate licenses may apply to open-source components or other materials identified as having their own license. Those licenses govern the relevant components. Using HeroSpace does not grant ownership of our trademarks or permission to imply our endorsement.

You retain your rights in the information and materials you submit to HeroSpace ("Your Content"). You give us permission to host, store, process, transmit, and display Your Content only as needed to provide and secure the service, carry out your instructions, and meet legal obligations. This permission does not transfer ownership to us.

You are responsible for having the rights and permissions needed to provide Your Content and make it available to your workspace or connected services. Do not submit information you are prohibited from sharing. Keep appropriate backups of important records.

Personal information is handled as described in our Privacy Policy. Restrictions on Google account data described there also apply to our processing under these Terms.

Where agent or AI-assisted features are available, you choose the tools you connect and the instructions and permissions you give them. You remain responsible for reviewing generated content and for actions you authorize, including changes to code, communications, business records, or connected accounts.

AI outputs can be inaccurate, incomplete, or unsuitable for your purpose. Check important facts and obtain appropriate professional advice for decisions that require it. Do not rely on an agent or automation as the sole safeguard for a high-impact or irreversible action. An output does not necessarily carry exclusive intellectual-property rights.

Connected AI providers have their own terms, usage limits, charges, and data practices. Access to HeroSpace does not include a subscription to a third-party AI provider unless an offer expressly says so.

You may not use HeroSpace to:

• Violate the law, another person's privacy, or intellectual-property rights.
• Access accounts, systems, or data without authorization, or bypass access controls.
• Distribute malware, carry out fraud, harass others, or send unlawful spam.
• Interfere with the service, overload its infrastructure, or evade usage restrictions.
• Misrepresent your identity or the origin, review, or approval of an action or message.
• Reverse engineer or redistribute the service except where applicable law or a separate license permits it.

You must also follow the rules of services you connect. A technical ability to perform an action does not grant permission to perform it.

HeroSpace is under active development. Features labeled beta, preview, or coming soon may be incomplete, change, or become unavailable. Product demonstrations and planned features are not a commitment that a feature is currently available or will be delivered on a particular date.

We may update the software, change features, set reasonable limits, or discontinue parts of the service. We will provide notice when reasonably practicable and when required by law. We do not guarantee uninterrupted availability or compatibility with every device, agent, or third-party service.

Google, GitHub, AI providers, and other services you choose are operated independently. Their terms and privacy policies apply to your use of them. You are responsible for obtaining any required accounts, licenses, and permissions. We are not responsible for their independent actions, availability, or changes. You may revoke a provider's authorization in that provider's settings; doing so may stop related HeroSpace features from working.

Any free access or beta offer applies on the terms shown with that offer. If we introduce a paid plan, we will present its price, billing period, renewal terms, and cancellation conditions before you purchase it. These Terms alone do not enroll you in a paid subscription or authorize a charge.

Charges from providers you connect are separate. Any payment or refund rights required by applicable law continue to apply regardless of an offer's terms.

You may stop using HeroSpace at any time. To request account closure or deletion, contact support@herospace.ai from your account email. Signing out or uninstalling the desktop app does not automatically delete server-side records. Our Privacy Policy explains retention and deletion, including shared workspace information and records we may need to retain.

We may restrict or suspend access when reasonably necessary to address a breach of these Terms, a security risk, abuse, or a legal requirement. Where appropriate, we will provide notice and a reasonable opportunity to resolve the issue. Serious or urgent risks may require immediate action. Provisions that by their nature should survive account closure will continue to apply.

To the extent permitted by law, HeroSpace is provided "as is" and "as available," without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service or generated outputs will be error-free, secure in every circumstance, or suitable for every use.

To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, including lost profits or business opportunities arising from use of the service. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including applicable liability for fraud or willful misconduct. Mandatory consumer rights and remedies remain unaffected.

We may update these Terms as the service evolves. We will post the revised version with an updated date and provide additional notice of material changes when required. Changes apply prospectively. If a change requires your consent, we will request it; if you do not agree to revised Terms, you should stop using the service.

If a provision cannot be enforced, the remaining provisions continue to apply. A delay in enforcing a provision does not waive it. These Terms and any additional terms you expressly accept for a feature form the agreement for your use of HeroSpace.
